1. Application of terms

These terms apply to all assignments undertaken by Innova Photography ("Photographer") for the client ("Client") and to all usage licences relating to those assignments. They take precedence over any inconsistent terms in the Client's purchase order or other documents.

2. Definitions

"Assignment" means a commissioned shoot for the purpose of creating photographic material.

"Estimate" means any document or email setting out the fee, expenses, and usage licence for an assignment.

"Fee" means the Photographer's fees as set out in the Estimate.

"Licensed Images" means the images selected from the material and licensed for use as specified in the Estimate.

"Material" means all photographic content created during an assignment, including digital files and any other media.

"Usage Licence" means the licence to use the Licensed Images as set out in the Estimate.

"Working Day" means any day that is not a Saturday, Sunday, or Bank Holiday in England.

3. Estimates

Estimates are based on information provided by the Client in advance. Changes to the brief before or during a shoot may increase the fee and expenses. Unless otherwise agreed in writing, the Client's confirmation of a shoot date constitutes acceptance of the Estimate. The Client is responsible for checking the Estimate covers all requirements, including usage licences and technical specifications.

4. Conduct of the Shoot

The shoot will take place on dates mutually agreed by both parties. The Photographer will take reasonable account of the Client's instructions. If the Client is not present during the shoot, the Photographer's interpretation of the brief shall be deemed acceptable.

5. Hours

A standard day is up to 9 hours (including 1 hour for lunch) between 9am and 6pm on a Working Day. Any hours worked outside these times will incur additional fees, agreed in advance between both parties.

6. Cancellation

If a confirmed shoot is cancelled or postponed for reasons outside the Photographer's control, the following cancellation fees apply:

For shoots of two days or fewer:

• Less than 3 Working Days' notice: 100% of fee plus all expenses

• 3 to 6 Working Days' notice: 75% of fee plus all expenses

• More than 6 Working Days' notice: 50% of fee plus all expenses

For shoots exceeding two days, fees are calculated proportionally based on notice given relative to shoot duration.

7. Delivery

Following the shoot, the Photographer will deliver the material as soon as reasonably practicable in the agreed format. Post-production will be completed within agreed timescales where specified. The Client may not reject material solely on the grounds of style or composition unless otherwise agreed in writing.

8. Storage of Material

The Client is responsible for maintaining a secure copy of all delivered material for the duration of the usage licence. The Photographer will not archive material unless agreed in writing. Material may not be stored electronically or shared with third parties beyond the terms of the usage licence without the Photographer's written permission.

9. Copyright & Usage Licences

All copyright in the material created during an assignment remains with the Photographer at all times. Upon receipt of full payment, the Photographer grants the Client a licence to use the Licensed Images strictly as specified in the Estimate. No use may be made prior to full payment without written agreement. The Client may not manipulate Licensed Images or use partial images without prior written permission.

10. Additional or Extended Usage

Any use of Licensed Images beyond the terms of the original Estimate requires a new agreement and additional fee. Estimates for additional usage are valid for three months. Unauthorised extended use will attract an additional fee.

11. Portfolio & Promotion

The Photographer reserves the right to use any material created during an assignment for the purposes of self-promotion, portfolio display, and award submissions, whether or not the material has been published by the Client. Where material is unpublished, the Photographer will seek the Client's consent prior to use, which shall not be unreasonably withheld.

12. Third Party Rights

The Client is responsible for clearing all third-party rights, including model releases and intellectual property, unless otherwise agreed in writing prior to the shoot. The Photographer will not be liable for any failure by the Client to obtain necessary clearances.

13. Credits

For editorial use, the Client shall ensure the Photographer is credited in reasonable proximity to all published reproductions of Licensed Images.

14. Payment

All invoices are payable within 30 days of the date of issue. Expenses and production costs must be paid in advance of the shoot unless otherwise agreed. The Photographer reserves the right to charge interest on late payments at the rate prescribed by the Late Payment of Commercial Debts (Interest) Act 1998. Usage licence fees are payable regardless of whether Licensed Images are ultimately used by the Client.

15. Expenses

All expense estimates are indicative and exclusive of VAT. A minimum 10% contingency should be allowed. Where additional expenses or time are incurred due to changes requested by the Client, these will be charged at the Photographer's standard rate.

16. Liability

The Photographer shall not be liable for any indirect, consequential, or economic loss arising from an assignment. The Photographer's maximum liability shall not exceed the total fees paid in relation to the relevant assignment. Nothing in these terms excludes liability for death or personal injury caused by the Photographer's negligence, or for fraud.

17. Confidentiality

The Photographer will keep confidential any information provided by the Client for the purposes of an assignment and will not disclose it to third parties except where necessary to carry out the work.

18. Termination

Either party may terminate an agreement immediately in writing if the other party commits a material breach that is not remedied within 30 days, or becomes insolvent. On termination, all sums outstanding become immediately due.

19. General

These terms are governed by the laws of England and Wales. Any dispute shall be subject to the non-exclusive jurisdiction of the courts of England and Wales. These terms, together with the Estimate, constitute the entire agreement between the parties. If any provision is found to be unenforceable, the remaining provisions continue in full force.
